2018 WILSON WORLD DEMO TOUR FACILITY (B2B) CONTEST
THIS CONTEST IS OFFERED ON A BUSINESS-TO-BUSINESS BASIS AND INDIVIDUAL CONSUMERS ARE NOT ELIGIBLE TO ENTER OR WIN A PRIZE IN THIS CONTEST.
NO PURCHASE NECESSARY TO ENTER OR WIN PRIZE. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. MUST REGISTER TO PARTICIPATE.
Sponsor: Wilson Sporting Goods Co., a Delaware corporation, with a principal office at 1 Prudential Plaza, 130 E. Randolph Street, Suite 600, Chicago, Illinois USA 60601 (“Sponsor”).
The Contest is open only to tennis clubs, academies, centers and facilities or other institutional accounts of Wilson Sporting Goods Co. (each, an “Entrant Facility”) located in the following countries: the 50 United States or the District of Columbia, Canada (excluding, the Province of Quebec), Mexico (the “Americas Territory”), the United Kingdom, France, Germany, Austria, Denmark, Finland, Spain, Switzerland (the “European Territory”), Japan, South Korea, and Australia (the “Asia-Pacific Territory”) (each, a “Territory”; collectively, the “Territories”). THIS CONTEST IS OFFERED ON A BUSINESS-TO-BUSINESS BASIS AND CONSUMERS ARE NOT ELIGIBLE TO ENTER OR WIN A PRIZE IN THIS CONTEST. Void in overseas U.S. territories, possessions, commonwealths and military installations, and where prohibited or restricted by law. Wilson Sporting Goods Co. and any of its related companies, parents, subsidiaries, affiliates, and agents and any agencies or other companies involved in the development or execution of the Contest or production or distribution Contest materials, are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations.
2. Agreement to Official Rules:
By participating in the Contest and/or hosting a World Demo Tour Event, Entrant Facility fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Contest. Sponsor reserves the right to modify these Official Rules at any time, without notice. Any modifications must be adhered to.
The Contest begins on April 1, 2018 at 12:00:01 a.m. (GMT-6:00) Central Time (“CT”) and ends on December 15, 2018 at 11:59:59 p.m. CT (the “Promotion Period”). Sponsor’s computer is the official time-keeping device for the Contest.
4. How to Enter:
To enter the Contest, during the Promotion Period the Entrant Facility must register and host a Wilson World Demo Tour Event in the Territories at which: (a) a Wilson sales representative or ambassador must be in attendance, and (b) the Wilson Ultra® Around the World Challenge (as described below) is performed.
An Entrant Facility can register to host a World Demo Tour Event online at: wdt.wilson.com while supplies last. Event dates and times are limited.
The Wilson Ultra® Around the World Challenge:
HOW IT WORKS:
The goal is to have as many ball exchanges on a single tennis court as possible, using the singles lines on the court. The challenge is that on each side of the court only two Wilson Ultra rackets are in use and after each exchange the racket needs to be handed over to the next but one player in line. Upon hand off of the racket, the player runs to the other end of the court and gets in the back of the line. This process continues until a player hits a ball in the net or out of the singles lines on the court. A miss concludes that attempt. There are no more than 5 attempts permitted at a single World Demo Tour event. A minimum of 4 players are required to perform the Wilson Ultra® Around the World Challenge.
HOW IT IS SCORED:
The score for purposes of the Contest is a combination of numbers of players and the number of valid exchanges.
>> (# of players x 4) + (# of consecutive hits) = The score
>> Example: 20 players with 40 consecutive hits = (20 x 4) + 40 = 120
The score will be calculated and reported onsite at the event by the Wilson sales representative or ambassador. The Wilson sales representative or ambassador will send the number of players and consecutive hits via email to email@example.com. The score will be published on the World Demo Tour website. Entrant Facility fully and unconditionally agrees to and accepts these Official Rules and the decisions of such representative or ambassador.
The Wilson sales representative or ambassador must get a photo of the player group together and send the photo, name of event and location, number of participants and number of consecutive hits by email to firstname.lastname@example.org. In addition, to be eligible for entry, all players must be registered online for the World Demo Tour event they have attended.
NOTE – THIS CONTEST IS OFFERED ON A BUSINESS-TO-BUSINESS BASIS. NO CONSUMERS (INCLUDING, PLAYERS WHO PARTICIPATE IN A WILSON ULTRA® AROUND THE WORLD CHALLENGE FOR OR ON BEHALF OF AN
ENTRANT FACILITY) WILL BE ELIGIBLE TO WIN A PRIZE IN THE CONTEST.
Limit: There is a limit of one (1) entry per Entrant Facility. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected scores, which will be disqualified. In the event of a dispute as to any entry, the authorized account holder of the email address used to enter will be deemed to be the Entrant Facility. Potential winners may be required to show proof of being the authorized account holder. The “authorized account holder” is the facility associated with the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.
5. Winner Determination:
Winners will be determined via the following process:
At the end of the Promotion Period, the Entrant Facility with the highest score in each of the Americas Territory, the European Territory and the Asia-Pacific Territory (as submitted to Wilson by the Wilson sales representative or ambassador) will be determined a potential Prize Winner (up to a total of 3 Prize Winners, one per Territory).
In the event of a tie, the Entrant Facility with more players that participated in The Wilson Ultra® Around the World Challenge shall be the potential Prize Winner. In the event of a tie in the amount of players, then Sponsor will break the tie based upon the earlier date and time of the applicable World Demo Tour Event. IF NO ENTRIES ARE SUBMITTED IN COMPLIANCE WITH THESE OFFICIAL RULES FOR A GIVEN TERRITORY, NO PRIZE WILL BE AWARDED FOR SUCH TERRITORY. Odds of winning depend on the number and caliber of eligible entries received in accordance with these Official Rules. The Prize Winners will be announced via the @WilsonTennis Twitter account on December 20th, 2018.
6. Prize Winner Requirements:
Receiving a Prize is contingent upon compliance with these Official Rules. The potential Prize Winners may be required to sign and return an Affidavit of Eligibility, Liability & Publicity Release (“Affidavit”), which must be received by Sponsor within three (3) days of the date notice or attempted notice is sent, in order to claim a prize. If a potential Prize Winner cannot be contacted, fails to execute and return the Affidavit within the required time period (if applicable), or Prize is returned as undeliverable, the potential Prize Winner forfeits the Prize. In the event that a potential Prize Winner is disqualified for any reason, Sponsor reserves the right to award any given prize to an alternate Entrant Facility based on the next highest score received, even if the disqualified Potential Winner’s name may have been publicly announced. If after three (3) attempts a Prize Winner is not confirmed, the Prize will remain un-awarded. Acceptance of any Prize shall constitute and signify Prize Winner’s agreement and consent that Sponsor may use Prize Winner’s name, logo, trademark, and images of Prize Winner’s facility in connection with the Contest, worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law.
Up to three (3) Prizes (one per Territory) – each, one (1) Wilson Demo Tour Event Party in 2019 (the “Party”). The Party will consist of an event hosted by Entrant Facility at Entrant Facility’s location at which Wilson or its designee will provide: (i) food and beverages (up to a retail cost to Wilson of $1,500 USD), (ii) twenty (20) custom Wilson tennis racquets to
be given away by Entrant Facility at its discretion at the Party, and thirty (30) vouchers for a reduced price on custom Wilson tennis racquets, such vouchers to be given away by Entrant Facility at its discretion at the Party. Approximate retail value (ARV) of each Prize: $8,580 USD. Total ARV of all Prizes: $25,740. NOTE – NO CONSUMERS (INCLUDING, PLAYERS WHO PARTICIPATE IN A WILSON ULTRA® AROUND THE WORLD CHALLENGE FOR OR ON BEHALF OF AN ENTRANT FACILITY) WILL BE ELIGIBLE TO WIN A PRIZE IN THE CONTEST.
The following applies to the Prizes: Any difference between stated ARV and actual value of Prize will not be awarded. Except as specifically provided herein, the Prizes do not include taxes, or any other item not specifically described in these Official Rules, and all expenses for any of the foregoing are the sole responsibility of the Prize Winner. The Prize Winner may be issued an IRS 1099 form. The Prize may not be transferred or assigned except by Sponsor. No substitutions, cash equivalents or redemptions of prize will be made. If a Prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute Prize with another prize of equal or greater value. Reporting and payment of all applicable taxes, fees, and/or surcharges, if any, arising out of, or resulting from, acceptance or use of a prize, are the sole responsibility of the winner of the Prize.
8. General Conditions:
Sponsor is not responsible for any typographical errors in these Official Rules or the advertising and promotion of the Contest; any kind of electronic, hardware, software or technical problems caused by Sponsor, the user or by any of the equipment or programming associated with or utilized in the entry data; any human error which may occur in the processing of such data or the selection of the Prize Winners, or which may limit any Entrant Facility’s ability to participate in this process.
If the Contest becomes compromised, hampered, interrupted, not capable of running as planned, or rendered impossible of performance in any way, Sponsor reserves the right, in its sole discretion to cancel, suspend or withdraw the Contest, or to amend these Official Rules without notice, and, if possible, select prize winners based on performances which occurred prior to or after the cancellation, suspension, reschedule or withdrawal.
Each Entrant Facility will not knowingly damage or cause interruption to the Contest and/or prevent others from participating in the process. CAUTION: ANY ATTEMPT TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST HEREUNDER VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY ENTRANT FACILITY MAKING SUCH ATTEMPT AND SPONSOR MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Limitation of Liability/Release:
Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the Prizes awarded. Except where prohibited by law, by receipt of any Prize, the Prize Winner agrees to release and hold harmless Sponsor and its subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any and all liability, loss or damage incurred with respect to Entrant
Facility’s participation in the Contest, the awarding, receipt, possession, and/or use or misuse of any prize, including any traveling related thereto.
10. Governing Law and Disputes:
Entrant Facility agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, other than those concerning the administration of the Contest or the determination of winners, shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved exclusively by the United States District Court or the appropriate Illinois State Court located in Chicago, Illinois; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (iv) under no circumstances will Entrant Facility be permitted to obtain awards for, and Entrant Facility hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO ENTRANT FACILITY. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant Facility and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules (whether of the State of Illinois or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Illinois.
12. Winner List:
